Offering Memorandum: Principal Confidentiality Agreement

This agreement may be executed in counterparts and each counterpart will have the same force and effect as an original and will constitute an effective binding agreement on the Parties. The Agreement or each counterpart will be considered executed when the signatures of the parties, or their authorized representatives, are delivered by electronic mail or facsimile transmission. Such electronic signatures or facsimile signatures will be treated in all respects as having the same legal force and effect as an original signature.
